ClaridexTerms of Service
These Terms of Service ("Terms") govern your access to and use of the Claridex app ("the App"), provided by Claridex LLC ("Claridex", "we", "us"). By installing or using the App, you ("the merchant", "you") agree to these Terms. If you do not agree, do not install or use the App.
1. The service
Claridex is an AI-powered search and SEO optimization tool for Shopify stores. It audits and scores your product catalog, generates suggested optimized content, applies changes you approve, and provides discoverability and attribution insights.
2. Eligibility and accounts
You must have a Shopify store and the authority to install apps on it. You are responsible for activity that occurs through your installation of the App.
3. Plans, billing, and trials
- Claridex offers a Free plan and paid plans (Clarity, Discovery, Authority) with different product and daily generation limits.
- Paid plans include a 7-day free trial, charged once per store.
- All billing is handled through Shopify's billing system. Charges appear on your Shopify invoice. We do not process payment cards directly.
- You can upgrade, downgrade, or cancel at any time through the App. Plan changes follow Shopify's billing rules.
- If a payment fails, your account enters a grace period during which features are degraded but not deleted, followed by suspension if the issue is not resolved.
- We may change plan pricing, limits, or included features from time to time. If we change the price of your active subscription, we will give you at least 30 days' notice, and the new price takes effect only after you approve the updated charge through Shopify's billing system, which requires your explicit approval for any subscription price change. If you do not approve, you keep your current price until you cancel or change plans. If we materially reduce the limits or features of your active plan, we will give you at least 30 days' notice.
4. Acceptable use
You agree not to:
- Use the App to violate any law or any third party's rights
- Attempt to reverse engineer, resell, or sublicense the App
- Circumvent plan limits, quotas, or abuse-prevention measures
- Use the App to generate misleading, infringing, or unlawful content
We may suspend or terminate access for violations.
5. AI-generated content
Claridex uses AI to generate suggested content (meta titles, descriptions, alt text, highlights, FAQ). You are responsible for reviewing and approving any content before it is applied to your store. We do not write to your store without your explicit in-app approval. While we validate output for quality and accuracy, AI-generated content may contain errors; you remain responsible for the content published on your store.
6. Your data
Your use of the App is also governed by our Privacy Policy and Data Processing Agreement. You retain ownership of your store and product data. You grant us the limited rights needed to operate the App on your behalf, as described in the Privacy Policy.
7. Service availability
We aim for high availability but do not guarantee uninterrupted service. We may modify, suspend, or discontinue features. We perform maintenance and may pause write operations automatically if we detect elevated error rates, to protect your store data.
8. Intellectual property
The App, including its scoring methodology, software, and branding, is owned by Claridex and protected by intellectual property law. These Terms do not grant you any rights in the App other than the right to use it as provided.
9. Disclaimers
The App is provided "as is" without warranties of any kind. We do not guarantee specific search rankings, AI recommendation outcomes, traffic, or sales. SEO and AI discoverability depend on many factors outside our control.
10. Limitation of liability
To the maximum extent permitted by law, Claridex is not liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data. Our total liability for any claim is limited to the amount you paid us for the App in the 12 months before the claim.
11. Indemnification
You agree to indemnify and hold Claridex harmless from claims arising out of your use of the App, your content, or your violation of these Terms.
12. Termination
You may stop using the App at any time by uninstalling it. Upon uninstall or a valid deletion request, we delete your merchant data as described in the Privacy Policy.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date and, where appropriate, communicated in-app. Continued use after changes constitutes acceptance.
14. Governing law
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-laws principles. Disputes will be resolved in the courts of the Commonwealth of Virginia.
